We value the trust you place in Zenly, Inc. (“Zenly”) and we want you to be aware of the safeguards we have in place to respect your privacy. This Privacy Policy tells you about the information we collect, and how we use, disclose, and protect that information. Capitalized terms not defined in this Privacy Policy shall have the meaning assigned to them in the Terms of Use for the Site.

For the purposes of this Privacy Policy, “you” or “your” shall refer to you as a user of the Site, or a Registered User, as the case may be.

You must agree to the following Privacy Policy before using the Site or Services.

We recommend you print out a copy of this Privacy Policy for your future reference.

1. Acknowledgement and Acceptance

BY USING OR ACCESSING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND by THE PRACTICES AND POLICIES DESCRIBED IN THIS PRIVACY POLICY. IF YOU DO NOT AGREE, PLEASE DO NOT USE OR ACCESS THE SITE.

2. Changes to this Policy

From time to time, Zenly may find it necessary to amend or modify this Privacy Policy. The date of the most recent revision will appear at the top of this page. If Zenly has a working e-mail contact for you and the changes to this Privacy Policy are material, Zenly will notify you of such changes by sending you an e-mail to the address you have provided to Zenly. Zenly encourages you to review this Privacy Policy periodically for any updates or changes. Any amended or modified terms will be effective upon posting or at the time set forth in an e-mail notice to you. Continued use of the Site constitutes acceptance of any modified terms and conditions.

3. Information Zenly Collects

We collect the information that you share with us, including:

A. Personal Information. "Personal Information" is information that can personally identify you, such as your name, email address and telephone number. We maintain one or more databases to store your Personal Information and may retain it as reasonably required to serve you and operate the Site and Services. Personal Information that we collect depends on how you use the Site and Services. Providing your Personal Information to Zenly is your choice. If you choose not to provide Zenly with certain Personal Information, you may not be able to take advantage of certain features of the Site or Services. The following are examples of the Personal Information we may gather from you in connection with your use of the Site or Services:

1. Zenly collects information that you voluntarily provide to become a Registered User. Such information may include, without limitation, your name, address, phone number and/or e-mail.

2. Zenly collects information that you may voluntarily provide to Zenly if you email us, inquire about a listing, call us, complete an online survey, or otherwise respond to a request from Zenly for information.

B. General Information. “General Information” is non-personal information that does not identify or track you personally, and that we may automatically collect when you visit the site. General Information includes browser information, operating system information, device information, TCP-IP address and the date, time, length of stay and specific pages accessed during your visit(s) to the Site.

C. Linking Personal Information. Personal Information may be combined and/or linked to General Information as well as data stored in online identification tools, such as a cookie (see below for more information on Online Identification Tools).

4. Online Identification Tools

A. We use your IP address to help diagnose problems with our server and provide a better web experience. Your IP address is used to help identify you and gather General Information.

B. We use web beacons (a.k.a. clear GIFs, web bugs or pixel tags) to personalize your experience of the Site and to generate information about Site traffic and trends. Web beacons collect General Information, such as the type of browser that you use and your IP address. Web beacons may be used alone or in conjunction with cookies; when web beacons are used with cookies, they may link General Information to Personal Information. Web beacons usually are not visible to you.

C. We use cookies to understand usage and to improve the content and offerings on the Site. For example, we may use cookies to personalize your experience on the Site (e.g., to recognize you by name when you return to the Site) and to save your password in password-protected areas. We also may use cookies to offer you products, programs or services. A cookie is a small file stored by your internet browser on your computer. A "session cookie" stores temporary information that is erased when you close your web browser or turn off your computer. A "persistent cookie" enables the Site to recognize you when you return to it and remains stored on your computer until you delete it. Your web browser is usually set up to initially accept cookies. If you set your browser to reject cookies, the Site will not be able to recognize your account or to personalize the content that you see. A "flash cookie," also known as a "local storage object," is not stored in your browser, unlike other cookies, and is instead placed on your computer by websites that use Adobe Flash. You may disable flash cookies via your Flash Player preferences or by using third-party software. We do not and cannot use cookies to gather other information that may be stored on your hard drive. Cookies, by themselves, do not tell Zenly your email address or other personally identifiable information unless you choose to provide this information to Zenly by, for example, registering at our Site. However, once you choose to provide Zenly with Personal Information, this information may be linked to the data stored in the cookie.

D. We also use Google Analytics. This tool tracks general statistical information about you, such as the sites you have visited and your IP address and browser. 5. How Zenly Uses Your Information

A. Facilitate Site and Services. Zenly may use the information we collect from you for a number of purposes, including:

1. to assist you in either leasing or obtaining Prospective Tenants to lease a unit listed on the Site;

2. to customize, analyze, adjust and improve the Site to better meet your needs;

3. to respond to your inquiries;

4. to provide you with marketing and promotional information about services we believe are of interest to you;

5. to enforce Zenly’s user policies and other agreements with you;

6. to provide you with important administrative information regarding the Site, such as changes to this Privacy Policy, the Terms or our other policies, and to, more generally, facilitate communication between Zenly and you; and

7. to prevent fraud and other prohibited or illegal activities.

B. E-Renter Consumer Report. If you choose to submit an application for a unit listed on the Site, your Personal Information will be used to obtain a consumer or investigative credit report, criminal background report, and/or evictions records (collectively, the “Consumer Report”) from E-Renter USA Ltd., which is a Consumer Reporting Agency subject to the Fair Credit Reporting Act. The results of the Consumer Report are only shared with the Landlord, and are not shared with Zenly.

C. Anonymized Data. We may use your General Information and deidentified Personal Information to prepare anonymized, aggregated data about our users ("Anonymized Data"). We may provide third parties with Anonymized Data in describing the Service to prospective partners, advertisers and other third parties, and for all other lawful purposes. As communicated to third parties, the Anonymized Data does not include any information permitting the recipient to identify, locate or contact you.

6. Disclosure of Information

We will not disclose your Personal Information without your consent, except as follows:

A. Real Estate Agents. In order to facilitate the leasing of residential units listed on the Site, Zenly may share certain Personal Information with one or more of our real estate agents who may use such information to contact you about our leasing services and assist you in leasing a unit. Zenly requires all of our real estate agents to keep such information confidential and to only use such information to assist you in leasing a unit.

B. Landlords. If you choose to submit an application on the Site, Zenly may share certain Personal Information with the Landlord of the unit. If you choose to submit an application on the Site, your Personal Information will be used to obtain a Consumer Report, and Zenly may also share the results of the Consumer Report with the Landlord of the unit that you submit an application for. The Landlord may only use your Personal Information and the results of the Consumer Report to determine whether or not to lease the unit to you.

C. Service Providers. Zenly employs other companies and individuals ("Service Provider") to perform functions on our behalf, such as E-Renter, which obtains Consumer Reports, and Balanced Payments (balancedpayments.com), which processes credit card payments and automated clearing house transfers. These service providers will have access to Personal Information needed to perform their functions, in each case consistent with this Privacy Policy, but may not use such information for any other purpose. In certain cases, the Service Provider will store your Personal Information.

D. Legal Requests. We may disclose any information, including, without limitation, Personal Information, we deem necessary, in our sole discretion and without your prior permission, to comply with any applicable law, regulation, legal process or governmental request. Zenly reserves the right to disclose your Personal Information if we believe you have or are violating this Privacy Policy or any other user policy available on the Site, or in order to protect or defend Zenly’s rights or property, even without a subpoena, warrant or other court order.

7. How You Can Control Your Information

A. If you tell Zenly that you do not want Zenly to use your Personal Information to contact you, Zenly will respect your wishes. If you are a Registered User, you may change your preferences to receive or not to receive email communications from Zenly by logging into your account and indicating those preferences on the "My Account" section of the Site. You may also instruct Zenly to stop sending you emails or other information by following the “unsubscribe” instructions provided in any email from Zenly. Zenly may, however, continue to use your Personal Information to contact you to service your account or as otherwise authorized by law. Please note that if you use more than one name or e-mail address when communicating with Zenly or using the Site, you may continue to receive communications from Zenly to any name and/or email address not specified in your opt-out request.

B. If you would like to deactivate your account, you may do so by logging into your account and indicating the “Deactivation” preference on the "My Account" section of the Site. On your request to deactivate your account, we will deactivate your password and remove your contact information from our active databases. We will retain in our files the Personal Information you have asked Zenly to remove from our active databases to prevent fraud, resolve disputes, troubleshoot problems, assist with any investigations, enforce our user policies and comply with legal requirements. Therefore, you should not expect that your Personal Information will be completely removed from our databases in response to your requests. However, such Personal Information will only be available to select employees, service providers and governmental persons or entities.

8. Security

A. Zenly has implemented reasonable safeguards to help ensure that information collected is secure. We also take reasonable steps to ensure that third parties who work with Zenly to make the Site (including the software, applications and Services provided on the Site) available to you agree to protect the Personal Information that they must access in order to serve you and to honor your preferences about contacts you receive.

B. When you send or otherwise transmit your sensitive information (such as your credit card number) to or though the Site, your sensitive information is encrypted and protected with SSL, the current industry-standard encryption protocol. Our Service Providers with access to your sensitive information, including E-Renter and Balanced Payments, utilize the same SSL encryption protocol. When you are on an SSL-protected page, a picture of a closed lock appears at the bottom or top of some web browsers. Another way to tell if you are on a secure page is to check the URL or address of the page. (Look in the address box or right-click on the page and select "Properties".) These secure SSL-encrypted pages have URLs that start with "https://" instead of "http://".

C. Please understand, however, that it is possible for third parties to access information despite our efforts. Without limiting the terms of our Terms of Use and this Privacy Policy, you understand that we do not guarantee that your use of the Site and/or information provided by you will be private or secure and we are not responsible or liable to you for any lack of privacy or security you may experience. You are fully responsible for taking precautions and providing security measures best suited for your situation and intended use of the Site. You also understand that any information provided by you or collected by Zenly or our agents in connection with your use of the Site will be used in the manner described in our Terms of Use. Please do not use the Site if you do not agree to the terms and conditions described in this Security section.

D. In the event of a breach of the confidentiality or security of your Personal Information, Zenly will notify you as necessary so you can take appropriate protective steps. Zenly may notify you under such circumstances using the e-mail address(es) that we have on record for you.

9. Third Party Links

Zenly may provide links on the Site to third party websites that we do not own or control. We are not responsible for the information collection practices of any website that we do not own or control. We encourage you to review and understand the terms of use and privacy practices of third party websites before providing any information to or through them.

10. Acquisition of Zenly

Personal Information about customers is considered an asset. By using the Site and Services and submitting your information to Zenly, you consent to such sale and transfer of your information in the event of a sale, merger, liquidation, dissolution or sale or transfer of substantially all of the assets of Zenly.

11. Children

Zenly does not knowingly collect any Personal Information from children under 13. Where any such information is inadvertently collected, we will delete the information as soon as possible. If you believe a child under 13 has provided Zenly with Personal Information, please contact Zenly.

12. Users From Outside the United States

The Site is controlled and offered by Zenly from its facilities in the United States of America. The Site is governed by applicable federal, state and local laws. If you are visiting the Site from outside the United States, your information may be transferred to, stored and processed in the United States. The data protection and other laws of the United States and other countries may not be as comprehensive as those in your country. By visiting the Site, submitting information or using any of Zenly’s services, you acknowledge that you accept the practices and policies outlined in this Privacy Policy and consent to having your data transferred to and processed in the United States.
